A nominee director is a legally appointed individual who appears on the public record as a company director but acts solely on behalf of the beneficial owner. They do not participate in day-to-day management unless explicitly agreed.

The nominee may sign company documents required for statutory filings (e.g. Companies House), but will not sign operational or financial documents with prior discussion and the appropriate level of due diligence beforehand.
